Item 1.01. Entry into a Material Definitive Agreement.

Amended and Restated Credit and Security Agreement with Flagstar Bank, National Association

On June 30, 2023, loanDepot.com, LLC, a Delaware limited liability company and an indirect subsidiary of loanDepot, Inc. (the “Company”), as borrower, entered into an Amended and Restated Credit and Security (the “Credit Agreement”) with Flagstar Bank, National Association, as administrative agent on behalf of the lenders (the “Administrative Agent”), and Flagstar Bank, National Association, as a lender and the other lenders party thereto (collectively, the “Lenders”), pursuant to which the Lenders provide the Company with a revolving line of credit of $450 million, with an option to increase up to $600 million upon mutual consent. This facility is secured by certain of the Company’s mortgage servicing rights under the servicing agreement with Freddie Mac and other collateral listed therein. The Credit Agreement amends and restates a credit and security agreement, dated as of December 22, 2021, as amended, which the Company had originally entered into with Signature Bank, the rights and obligations under which Flagstar Bank, National Association previously assumed.

The Credit Agreement contains representations, warranties, covenants, conditions precedent to funding, events of default and indemnities that are customary for agreements of these types.

Should any event of default occur, the Administrative Agent at the direction of the required Lenders, may terminate the financing and declare all obligations of the Company immediately due and payable.
