Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 18, 2026, Brian O’Kelley, who has served as a director of LiveRamp Holdings, Inc. (the “Company”) since 2023, informed the Board of Directors of the Company (the “Board”) of his intention to resign from the Board, effective immediately. Such resignation was not the result of a disagreement with the Company on any matter relating to its operations, policies or practices.
