Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 12, 2026, Michael Hutchinson notified LivaNova PLC (the “Company”) of his resignation as Senior Vice President, Chief Legal Officer, and Company Secretary to pursue another opportunity. Mr. Hutchinson’s last day with LivaNova will be January 26, 2026. The Company expects to retain an external search firm to commence the search for a new Chief Legal Officer.
