Other Events

On June 26, 2026, The LGL Group, Inc. (the "Company") issued a press release announcing that it has extended the expiration date of the subscription rights offering to purchase shares of the Company's common stock, par value $0.01 per share (the "Rights Offering") to Wednesday July 15, 2026. The Rights Offering was previously scheduled to expire on Monday June 29, 2026. All other terms of the Rights Offering, including the subscription price of $6.90 per share, remain unchanged.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference to this Item 8.01.
