Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective January 25, 2022, the board of directors (the “Board”) of Levere Holdings Corp (the “Company”) unanimously appointed Wilko Stark as a Class I Director to fill the vacancy on the Board created by the passing of Ingo Hueck. Mr. Stark shall serve as a Class I Director for the remainder of the full term of Ingo Hueck, which shall expire at the Company’s first annual general meeting, or until his earlier resignation, death or removal. The Board also appointed Mr. Stark to serve as a member of the Compensation Committee and Nominating Committee.

In connection with Mr. Stark’s appointment, he and the Company entered into (i) an indemnification agreement and (ii) a joinder to the letter agreement, dated as of March 23, 2021, entered into by the Company with its directors (and the other parties thereto) in connection with the Company’s initial public offering. The Company’s director indemnification agreements and the letter agreement were described in, and the forms of such agreements were filed as exhibits to, the Company’s registration statement relating to the Company’s initial public offering (File No. 333-253105).
