Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 9, 2023, John P. McLaughlin notified the Board of Directors (the “Board”) of LENSAR, Inc. (the “Company”) of his intent to retire from the Board, effective October 31, 2023. Mr. McLaughlin’s retirement from the Board was not the result of any disagreement with the Company on any matter relating to the Company’s operation, policies or practices.
