Item 8.01			Other Events

In connection with the Agreement and Plan of Merger dated November 8, 2021, by and among Lemonade, Inc. (the “Company”), Citrus Merger Sub A, Inc., Citrus Merger Sub B, LLC and Metromile, Inc., the Company issued 7,846,646 warrants with an exercise price of $218.51 (NYSE: LMND-WS). These warrants are due to expire on Monday, February 9, 2026 at 5:00 p.m. Eastern Time. The New York Stock Exchange has informed the Company that it will suspend trading of these warrants after the close of market on Thursday, February 5, 2026, to allow for timely settlement.
