Shares were disposed of in connection with the underwritten secondary offering of shares, including as a result of the underwriter's exercise of an overallotment option, pursuant to the terms of an underwriting agreement dated November 10, 2025, entered into by the reporting person, Rollins Holding Company, Inc., Rollins, Inc. and Morgan Stanley & Co. LLC, as representative of the underwriters named therein.

2. The reporting person disclaims for the purpose of Section 16 of the Securities and Exchange Act of 1934 the beneficial ownership of such securities except to the extent of its pecuniary interest therein, and this report shall not be deemed an admission of such beneficial ownership.
