Item 8.01 Other Events.

On December 3, 2025, the Board of Directors of Landstar System, Inc. (the “Company”) declared a special cash dividend of $2.00 per share to holders of the Company’s common stock, par value $0.01 per share. The dividend will be paid on or about January 21, 2026, to stockholders of record as of the close of business on January 6, 2026.
