1. The Reporting Party is the executive managing member of Knott Partners Management, LLC, which is the general partner of Knott Partners, L.P. ("KPLP").

2. As a result of the Reporting Party's interests in Knott Partners Management, LLC, the Reporting Party has investment discretion and control of 390,241 of the securities in this entry as held by KPLP. The Reporting Party may be deemed beneficially to own an indirect pecuniary interest in securities in this entry as a result of a performance related fee. KPLP disclaims beneficial ownership of securities reported as owned by any other party.
