Explanation of Responses:

1. Represents restricted stock units ("RSUs") issued pursuant to SeaChange International Inc.'s Amended and Restated 2021 Compensation and Incentive Plan. The shares subject to the RSU award will vest in three equal installments on each of September 27, 2023, September 27, 2024 and September 27, 2025. In the event of a Change in Control of the Company, these RSUs shall vest in their entirety immediately before the Change in Control of the Company.

2. The amount of shares beneficially owned has been adjusted to reflect the 1-for-20 reverse split of the shares that occurred on May 22, 2023.
