ITEM 8.01 OTHER EVENTS

As previously reported, the Company received notices (the “Notices”) from the Nasdaq Listing Qualifications staff of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) as a result of not having timely filed its Quarterly Reports on Form 10-Q for the periods ended December 26, 2020 and April 3, 2021 (the “Second and Third Quarter Form 10-Qs”). In accordance with the requirements set forth in the Notices, the Company submitted a plan to regain compliance with Nasdaq. On June 10, 2021, the Company received a letter from Nasdaq granting the Company an exception until August 17, 2021 to file the Second and Third Quarter Form 10-Qs. The Company is working diligently to complete the preparation and filing of the Second and Third Quarter Form 10-Qs.
