RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On September 14, 2021, Kaspien Holding Inc. issued a press release announcing its financial results for its second quarter ended July 31, 2021. A copy of Kaspien Holdings Inc. press release is furnished with this report as Exhibit 99.1 and is incorporated herein by reference.
