Explanation of Responses:

1. Represents grant of restricted stock units ("RSUs"). The RSUs vested in full on the date of the Issuer's annual meeting of stockholders held on October 20, 2025.

2. On January 23, 2026, the Issuer effectuated a 1-for-12 reverse split ("Reverse Split") of the Issuer's common stock. This Form 5 reports holdings as of December 31, 2025, with all share amounts reported herein adjusted for the Reverse Split.

3. Represents grant of RSUs. The RSUs will vest in full on the date of the Issuer's 2026 annual meeting of stockholders.
