Explanation of Responses:

1. Represents a grant of restricted stock units which vest in four equal installments on the first, second, third and fourth anniversary of the grant date of February 12, 2024, subject to the Reporting Person's continuing service.

2. The option will vest with respect to 25% on February 12, 2025, with the remaining shares vesting quarterly in 12 equal installments thereafter, subject to the Reporting Person's continuing service.
