Item 8.01 - Other Events

On June 6, 2025 (the “Redemption Date”), Insmed Incorporated (the “Company”) completed its previously announced redemption of all of the aggregate principal amount outstanding of its 0.75% Convertible Senior Notes due 2028 (the “Notes”). Outstanding Notes in the aggregate principal amount of $1,965,204.69 that had not already been converted by holders thereof were redeemed for cash at a redemption price equal to 100% of the principal amount of such Notes, plus accrued and unpaid interest on such Notes to, but excluding, the Redemption Date.

The redemption was effected pursuant to the terms of the Indenture, dated as of January 26, 2018, as supplemented by the Second Supplemental Indenture, dated as of May 13, 2021, between the Company and Computershare Trust Company, N.A., as successor trustee to Wells Fargo Bank, National Association.
