Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 9, 2023, Illumina, Inc. (the “Company”) filed a Current Report on Form 8-K to report that Phil Febbo, Chief Medical Officer, departed the company on August 7, 2023.

In connection with his departure, Dr. Febbo and the Company entered into a Separation Agreement dated as of September 5, 2023, pursuant to which Dr. Febbo will receive payments equal to (i) one year of his annual base salary ($600,000) and (ii) group health insurance premiums under COBRA for a period of 12 months. Dr. Febbo may also access certain executive physical benefits during the 2023 calendar year.

The foregoing description of the Separation Agreement is qualified in its entirety by reference to the Separation Agreement, which will be filed as an exhibit to the Company’s quarterly report on Form 10-Q for the period ending October 1, 2023.
