Regulation FD.

ICC Holdings, Inc. (the “Company”) announced today that the proposed merger of the Company and Mutual Capital Holdings, Inc. (“Mutual Capital”) has been approved by the Insurance Commissioner of the Commonwealth of Pennsylvania.

The proposed merger remains subject to certain conditions and approvals, customary closing conditions. It is anticipated that closing of the merger will occur on or about March 13, 2025.
