Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 15, 2022, Gail Evans notified the Board of Directors (the “Board”) of IAA, Inc. (the “Company”) of her decision to resign as a member of the Board, effective June 30, 2022. Ms. Evans is resigning from the Board to focus on other professional commitments and not as a result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
