Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 19, 2024, Pat Griffin tendered his resignation, effective immediately as the President, North America of Hyzon Motors Inc. (the “Company”). Mr. Griffin has served as the Company’s President, North America since April 2023. Prior to that role, Mr. Griffin served as the Company’s President, Vehicle Operations from October 2021 to April 2023.

The Company anticipates that Mr. Griffin’s current responsibilities will be assumed by the Company’s other officers, including Parker Meeks, Chief Executive Officer of the Company.
