On February 17, 2026, Howmet Aerospace Inc. issued a press release announcing the pricing of an offering of $400,000,000 aggregate principal amount of 3.750% notes due 2028, $300,000,000 aggregate principal amount of 3.900% notes due 2029 and $500,000,000 aggregate principal amount of 4.750% notes due 2036. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 8.01.
