Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of July 1, 2024, Brian Appelgate completed a temporary assignment as Interim Chief Operating Officer of Holley, Inc. (the “Company”) which commenced on November 14, 2022. Mr. Appelgate is transitioning to a new role with the Company as an advisor to the Company’s safety business units and is no longer serving as the Company’s principal operating officer effective as of July 1, 2024. As he transitions toward retirement, he will continue to provide his expertise and guidance throughout the remainder of 2024.
