Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 8, 2021, the Board of Directors (the “Board”) of Histogen Inc. (the “Company”) approved retention related compensation adjustments for certain executive officers of the Company, including Susan A. Knudson, the Company’s Executive Vice President and Chief Financial Officer and the principal accounting officer and a named executive officer of the Company. As part of the retention measures adopted by the Board, Ms. Knudson’s annual base salary was increased to $450,000 per year effective as of November 8, 2021 and a one-time restricted stock unit award in the amount of $100,000 was granted on November 8, 2021.
