Item 8.01 Other Events

On January 16, 2026, Heritage Financial Corporation issued a press release announcing a regular quarterly cash dividend of $0.24 per common share. The dividend will be paid on February 11, 2026 to shareholders of record at the close of business on January 28, 2026.

A copy of the release announcing the dividend is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
