Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 24, 2025, William W. Stead, M.D. notified HealthStream, Inc. (the “Company”) that he has decided not to stand for re-election to the Company’s Board of Directors (the “Board”) as a Class I director at the Company’s annual meeting of stockholders and to retire from service on the Board effective concurrently with this annual meeting. Dr. Stead’s decision not to stand for re-election and retire from the Board is not the result of any disagreement with the Company.
