Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 12, 2022, Nikos Theodosopoulos resigned from the Board of Directors (the “Board”) of Harmonic Inc. (the “Company”), effective immediately. Mr. Theodosopoulos’ departure from the Board was not the result of any disagreement with Company management or the Board on any matter relating to the Company’s operations, policies or practices, but was in order to more fully pursue other commitments. The Company and the Board are grateful to Mr. Theodosopoulos for his many contributions to the Company.
