Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 27, 2023, GoodRx Holdings, Inc. (the “Company”) determined that Babak Azad will no longer serve as Chief Marketing Officer, effective July 7, 2023 (the “Effective Date”). On the Effective Date, Andrew Slutsky, currently Senior Vice President of Strategic Marketing Innovation of the Company, will assume an updated Chief Marketing Officer role with a more specific focus on certain marketing programs and initiatives.

The Company expects to enter into a Separation Agreement with Mr. Azad, the material terms of which will be disclosed in a subsequent Current Report on Form 8-K.
