Explanation of Responses:

1. On February 20, 2024, the Reporting Person was granted 5,418 shares of Restricted Stock pursuant to The St. Joe Company's 2015 Performance and Equity Incentive Plan. The Restricted Stock will vest in three equal annual installments on February 20, 2025, 2026 and 2027, subject to the Reporting Person's continued employment with the Company.

2. On February 20, 2024, the Reporting Person was granted 5,418 shares of Restricted Stock pursuant to The St. Joe Company 2015 Performance and Equity Incentive Plan. The Restricted Stock will vest in full on January 24, 2030 (the Reporting Person's 65th birthday), subject to the Reporting Person's continued employment.
