Item 8.01 Other Events.

On June 28, 2023, the Corporate Governance and Nominating Committee of the Board of Directors (Board) of The Goldman Sachs Group, Inc. (the Registrant) recommended that the Board take action at its next upcoming meeting to appoint Thomas K. Montag as an independent member of the Registrant’s Board and each of its Audit, Risk and Corporate Governance and Nominating Committees. Such appointment would take effect if and when the Board takes action to approve it.
