Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On September 23, 2022, Chuck Robel informed GoDaddy Inc. (the “Company”) of his decision to retire from the Board of Directors (the “Board”) as of the Company’s 2023 annual meeting stockholders.

In support of this transition, Mr. Robel will continue to serve as a director but will resign from his roles as Chair of the Board and as a member of the Audit and Finance Committee, effective September 30, 2022. On September 26, 2022, the Board appointed Brian Sharples as the Chair of the Board effective September 30, 2022.

Mr. Robel’s resignation did not result from any disagreement with the Company relating to its operations, policies or practices.
