Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 8, 2023, Gary L. Coleman and Larry M. Hutchison, Co-Chairmen of the Board of Directors of Globe Life Inc. (“Globe Life”), each notified the Board of his intention to retire as a Director and as Co-Chairman of the Board at the Annual Meeting of Shareholders on April 27, 2023 (“Annual Meeting”) and not stand for re-election. This change does not involve any disagreement with Globe Life’s operations, policies or practices.

It is the present intention of the Board for Globe Life’s Co-Chief Executive Officers, J. Matthew Darden and Frank M. Svoboda, to succeed Messrs. Coleman and Hutchison as Co-Chairmen of the Board upon their retirement and contingent upon Messrs. Darden and Svoboda’s election to the Board at the Annual Meeting.
