Item 2.02			Results of Operations and Financial Condition

On May 2, 2023 Global Industrial Company (the "Company") issued a press release announcing its financial results for the first quarter ended March 31, 2023 (the "Press Release"). The Press Release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

On May 2, 2023 at 5:00 p.m. Eastern time, management will host a conference call to discuss the Company's financial results for the first quarter ended March 31, 2023.

The Press Release also announced the declaration of a cash dividend of $0.20 per share payable to common stock shareholders of record at the close of business on May 15, 2023, payable on May 22, 2023.
