Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 16, 2022, Genworth Financial, Inc. (the “Company”) was informed by Matthew D. Farney that he intends to resign as the Company’s Vice President and Controller (Principal Accounting Officer), effective on or around April 15, 2022. Mr. Farney is resigning to pursue other opportunities.

During this interim time, the Company will work to identify a successor to Mr. Farney and will provide an update once a final decision is made.
