Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 25, 2023, Matt Fisch, Senior Vice President, Chief Technology Officer of Gentherm Incorporated (the “Company”), informed the Company of his resignation from the Company, effective February 10, 2023, to become the chief executive officer of a public company that does not compete with the Company. Mr. Fisch’s resignation was not a result of any disagreement on any matter relating to the Company’s operations, policies, or practices.
