Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 1, 2024, Genasys Inc. (the “Company”) received notice from Caltha Seymour of her resignation from the Board of Directors of the Company effective immediately due to increasing demands of her employment. Ms. Seymour’s resignation is not related to any disagreement with the Company or due to any matter relating to the Company’s operations, policies or practices, including accounting principles and practices.
