Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 28, 2023, Patrice Perche, Fortinet’s Chief Revenue Officer and Executive Vice President of Support, age 61 years old, notified Fortinet, Inc. (the “Company”) that he intends to retire in mid-2024 after approximately 19 years of service in various roles at the Company. Mr. Perche intends to help transition his current responsibilities through his retirement date in order to ensure a successful and smooth transition. The Company extends its gratitude to Mr. Perche for his years of service on behalf of the Company. Mr. Perche’s decision to retire was not the result of any disagreement with the Company.
