Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 15, 2025, Stanley S. Trotman, Jr. informed the board of directors (the “Board”) of Forian Inc. (the “Company”) of his decision to resign from the Board and, in connection with his resignation from the Board, all related Board committees, effective immediately. Mr. Trotman’s resignation is not a result of a disagreement or dispute with the Company on any matter regarding its operations, policies or practices. The Company has not yet identified a replacement to fill the vacancy on the Board created by Mr. Trotman’s resignation.
