(NASDAQ:FBLG) ("FibroBiologics" or the "Company"), a clinical-stage biotechnology company with 270+ patents issued and pending with a focus on the development of therapeutics and potential cures for chronic diseases using fibroblasts and fibroblast-derived materials, today announced the pricing of a best efforts public offering of an aggregate of 2,272,728 shares of its common stock (or common stock equivalents in lieu thereof) and warrants to purchase up to 2,272,728 shares of common stock (the "Warrants"), at a combined public offering price of $1.32 per share (or per common stock equivalent in lieu thereof) and accompanying Warrant. The Warrants will have an exercise price of $1.32 per share and will be exercisable beginning on the effective date of stockholder approval of the issuance of the shares upon exercise of the Warrants (the "Stockholder Approval") and will expire on the five-year anniversary of the date of Stockholder Approval. The closing of the offering is expected to occur on or about April 2, 2026, subject to the satisfaction of customary closing conditions.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.

The aggregate gross proceeds to the Company from the offering are expected to be approximately $3 million, before deducting the placement agent's fees and other offering expenses payable by the Company. The potential additional gross proceeds to the Company from the Warrants, if fully exercised on a cash basis, will be approximately $3 million.
