Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective February 26, 2025, Joanne Zach, the Chief Financial Officer of Fathom Holdings Inc. (the “Company”), has separated from the Company. Ms. Zach was serving as the Company’s principal financial officer and principal accounting officer.

Following Ms. Zach’s departure, Marco Fregenal, the Company’s President and Chief Executive Officer, will serve as the Company’s principal financial officer and principal accounting officer for SEC filing purposes.
