Item 8.01 Other Events.

Repurchases of Convertible Notes

On November 6, 2023, Fastly, Inc. (the “Company”) entered into a privately negotiated transaction with certain holders of the Company’s outstanding 0% Convertible Senior Notes due 2026 (the “Notes”) to repurchase (the “Repurchases”) approximately $40.2 million aggregate principal amount of the Notes for an aggregate cash repurchase price of approximately $34.8 million.

The Repurchases are expected to close on November 8, 2023, subject to customary closing conditions. Following the closing of the Repurchases, the Company intends to cancel the repurchased Notes and, after such cancellation of repurchased Notes, approximately $437.2 million aggregate principal amounts of Notes will remain outstanding. The Repurchases could affect the market price of the Class A common stock (the “common stock”).
