Item 8.01.

Other Events.

On February 27, 2024, the Board of Directors (the “Board”) of Farmland Partners Inc. (the “Company”), upon the recommendation of the Nominating & Corporate Governance Committee of the Board (the “Nominating Committee”), approved a reduction in the size of the Board from eight members to five members, effective at the Company’s 2024 Annual Meeting of Stockholders (the “Annual Meeting”). In connection with the Board’s action to reduce the size of the Board, the Board, upon the recommendation of the Nominating Committee, approved the slate of directors to be nominated for re-election at the Annual Meeting, which is comprised of the following existing directors: Luca Fabbri, John A. Good, Jennifer S. Grafton, Danny D. Moore and Paul A. Pittman. More information with respect to the candidates nominated for re-election at the Annual Meeting will be included in the Company’s definitive proxy statement to be filed in connection with the Annual Meeting.
