Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 22, 2025, Rollance Olson notified the board of directors (the “Board”) of Fabrinet (the “Company”) of his decision to retire from the Board at the end of his current term and not stand for re-election at the Company’s 2025 annual general meeting of shareholders. Mr. Olson’s decision was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
