Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(d) On November 6, 2023, the Board of Directors of Exxon Mobil Corporation (“ExxonMobil” or “the Corporation”) elected Dina Powell McCormick as a new non-employee director of the Corporation, effective January 1, 2024. Initial Board Committee assignments for Ms. Powell McCormick have not been determined at the time of this filing. This filing will be amended to include that information when available. As with other non-employee directors of the Corporation, Ms. Powell McCormick will receive an initial one-time grant of 8,000 shares of restricted ExxonMobil common stock under the Corporation’s Non-Employee Director Restricted Stock Plan. Thereafter, Ms. Powell McCormick will receive the same compensation as other non-employee directors of the Corporation as described in the Corporation’s most recent Proxy Statement dated April 13, 2023.
