Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 7, 2022, the Board of Directors (the “Board”) of Express, Inc. (the “Company”), accepted the resignation of Winnie Park, a Class III director, effective immediately in connection with her acceptance of an offer to pursue another professional opportunity and in accordance with the Company’s Corporate Governance Guidelines. Ms. Park’s decision to leave the Board is due to her new position and not due to any dispute or disagreement with the Company on any matter relating to the Company's operations, policies or practices.

Effective upon Ms. Park’s resignation, the Board decreased the size of the Board from nine to eight directors.
