Explanation of Responses:

1. Represents common stock withheld for taxes related to restricted stock units which vest in twelve equal installments on the first day of each month following the grant date.

2. On November 1, 2024, 3,272 shares of common stock of the Issuer were withheld to cover taxes associated with the vesting of the restricted stock units. Due to an inadvertent administrative oversight and not any error of the reporting person, this transaction was not previously reported.

EVP,GC and Corporate Secretary Hittner George covered exercise/tax liability with 6,143 shares, decreasing direct ownership by 5% to 126,714 units (SEC Form 4)
