Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 14, 2023, the Board of Directors of Evolve Transition Infrastructure GP LLC, a Delaware limited liability company (the “General Partner”) and the general partner of Evolve Transition Infrastructure LP (the “Partnership”), adopted a clawback policy (the “Clawback Policy”) in order to comply with Section 10D of the Securities Exchange Act of 1934 (the “Exchange Act”), Rule 10D-1 of the Exchange Act and the listing standards adopted by the New York Stock Exchange. The Clawback Policy provides for the recoupment by the Partnership of erroneously awarded incentive-based compensation from current and former Executive Officers (as defined in the Clawback Policy) of the General Partner in the event that the Partnership is required to prepare an accounting restatement.
