ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On February 26, 2025 (the "Effective Date"), the Compensation Committee (the "Committee") of the Board of Directors of Everest Group, Ltd. (the "Company") approved certain compensation awards to the named executive officers. The Committee approved a one-time award of restricted stock to each of Jim Williamson, President and Chief Executive Officer and Mark Kociancic, Executive Vice President and Chief Financial Officer, with a fair market value as of the Effective Date of $2.5 million and $1.5 million, respectively. The Committee also approved increases to Mr. Kociancic's target annual incentive bonus to 175% and to the target value of his equity compensation to $2.5 million.
