Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective June 6, 2022, the Board of Directors (the “Board”) of Equitable Holdings, Inc. (the “Company”) elected Craig MacKay as a director of the Company. The Board also determined that Mr. MacKay qualifies as an independent director under the New York Stock Exchange Listing Standards and Rule 10A-3 under the Securities Exchange Act of 1934, as amended. Mr. MacKay has been appointed to the Audit Committee and Finance and Risk Committee.

Mr. MacKay will receive compensation as a non-employee director as described under the caption “Director Compensation” in the Company’s proxy statement for its May 19, 2022 Annual Meeting of Stockholders filed with the Securities and Exchange Commission on April 6, 2022.
