Item 2.02 Results of Operations and Financial Condition

On February 4, 2026, ePlus inc. (the "Company") announced by press release its results of operations for its three and nine months ended December 31, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference. A reconciliation of GAAP results and non-GAAP financial measures is available in the Press Release that is attached hereto as Exhibit 99.1.

On February 4, 2026, the Company also announced that its Board of Directors has declared a quarterly cash dividend of $0.25 per common share to be paid on March 18, 2026, to all shareholders of record as of the close of business on February 24, 2026.
