Resignation of Director

On March 11, 2025, Marc A. Kramer. notified the Company of his resignation as a member of the Company’s Board of Directors (the “Board”). Mr. Kramer’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
